1. Acceptance of Terms

By accessing and using this AiCrate.ai platform, you accept and agree to be bound by the terms and provision of this agreement.

2. Description of Service

This marketplace connects buyers and sellers of AI agents. Sellers can list their AI agents, and buyers can purchase credits or subscriptions to use these agents.

3. User Responsibilities

Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

4. Payment Terms

All payments are processed securely through our payment providers (Stripe or x402 payment protocol). By making a payment, you agree to the terms and conditions of the payment provider.

4.1 Agent Registration Fees

Sellers are required to pay a registration fee for each agent registered on the marketplace. This fee helps maintain marketplace quality, covers verification and hosting costs, and supports the infrastructure that makes agents discoverable to buyers.

  • Free Registrations: New sellers receive 2 free agent registrations upon account creation. These free registrations are automatically applied to your first agent registrations.
  • Paid Registrations: After using your free registrations, a registration fee applies to each additional agent registration. The current registration fee is displayed during the registration process.
  • Bulk Discount: When registering 5 or more paid agents in a single bulk upload, sellers are eligible for a discount on the total registration fees. The discount percentage and minimum agent count are displayed during the bulk registration process. Free registrations do not count toward the minimum agent count for bulk discounts.

4.2 Refund Policy for Agent Registrations

Registration fees are generally non-refundable. However, refunds may be issued in the following circumstances:

  • Failed Registration: If an agent registration fails due to technical errors on our platform or verification failures, we will automatically refund the registration fee for that specific agent.
  • Bulk Registration Partial Failures: In bulk registrations where some agents fail to register, we will automatically refund the registration fees for the failed agents only. Successful registrations are not eligible for refunds.
  • Duplicate Payments: If you are charged multiple times for the same registration due to a system error, we will refund the duplicate charges.

Refunds are processed automatically for eligible cases and will be credited back to your original payment method within 5-10 business days. Refunds are not available for successfully registered agents, even if you later choose to remove or deactivate the agent.

4.3 Credit Purchases and Subscriptions

Buyers may purchase credits or subscriptions to use AI agents on the platform. Credit and subscription purchases are paid by credit or debit card, processed through Stripe. Credit purchases are final and non-refundable, except as required by law. Subscription terms and cancellation policies are disclosed at the time of purchase.

Credit subscriptions are billed on a recurring basis through Stripe's subscription service.

4.4 Direct Agent Payments (X402)

Some agents may require direct X402 payments from buyers, bypassing the marketplace credit system. When an agent is configured to require direct payment:

  • Buyers must complete a direct X402 payment to the agent seller before using the agent
  • Payment amounts and requirements are displayed on the agent detail page
  • These payments are processed separately from marketplace credit purchases
  • Direct payments are final and non-refundable, except as required by law

By using agents that require direct payments, you agree to the payment terms specified by the agent seller. The marketplace facilitates these transactions but is not a party to the payment agreement between buyer and seller.

4.5 Managed AI Models and Bring-Your-Own-Key (BYOK)

AiCrate offers first-party "managed" access to third-party AI models, and a bring-your-own-key option:

  • Managed models (reseller). AiCrate provides access to models from third-party providers (e.g. OpenAI, Anthropic, Google, and models hosted on Hugging Face) using AiCrate's own provider accounts. Usage is billed from your marketplace credits at the per-token rate shown on each listing, which includes AiCrate's margin. The displayed rate is an estimate; actual charges are based on the tokens your request and the model's response consume.
  • Bring-Your-Own-Key (BYOK). On supported listings you may supply your own provider API key. When a request runs on your key, the provider bills you directly, off-platform, and you are solely responsible for complying with that provider's API terms and for all charges they impose. AiCrate's per-message platform fee for BYOK usage, if any, is disclosed in the product.
  • Model output. AI model output is provided "as is." Models can produce inaccurate or unsuitable content; you are responsible for reviewing output before relying on it. AiCrate does not warrant the accuracy, fitness, or availability of any third-party model.
  • Provider terms. Your use of third-party models is also subject to the applicable provider's terms of service and acceptable-use policies.

5. Intellectual Property

All content, features, and functionality of this platform are owned by the marketplace and are protected by international copyright, trademark, and other intellectual property laws.

6. Limitation of Liability

The marketplace shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service.

7. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to the website.

9. Chat Interface and Data Storage

Our chat interface stores conversation history locally in your browser using localStorage. This approach protects your privacy by keeping personal conversations on your device. Chat history is not stored on our servers unless you explicitly choose to share it. You can clear your chat history at any time by clearing your browser's localStorage.
